JENEX SIGNS A GLOBAL EXCLUSIVE LICENCING

AGREEMENT FOR interceptCS COLD SORE PREVENTION PRODUCTS INCLUDING THE INTENT TO NEGOTIATE AN AMALGAMATION WITH IMAGIN DIAGNOSTIC CENTRES

 

 

Burlington, Ontario - The JENEX Corporation ("JENEX" or the "Corporation") TSX Venture Exchange: JEN, Frankfurt: JNX) has entered into an exclusive licensing agreement (excluding Canada) for its InterceptCS cold sore prevention device and interceptCS disposable Treatment Activator (www.interceptcs.com) with IMAGIN Diagnostic Centres, Inc. of Vancouver, BC (www.imagincentres.com) .

 

The companies plan to offer a private placement to accredited and eligible investors globally as a first tranche financing in order to capitalize on the joint opportunity of the amalgamation.  Details will be announced shortly.

 

Michael Jenkins, CEO of JENEX stated, “JENEX   has developed a proprietary state-of-the-art medical device which when used with the interceptCS disposable Treatment Activator,  allows a customer to apply the  interceptCS  device to a region of a developing cold sore (which are caused by the HSV-1 herpes simplex virus) and to instantly treat the problem and prevent the cold sore outbreak.  InterceptCS is Health Canada and CE mark approved in Canada and Europe respectively.  We are currently working towards obtaining a 510k approval from the FDA in the USA.  The IMAGIN team is excited about the potential of our state-of-the-art solution and JENEX is excited that IMAGIN has agreed to amalgamate certain medical operations into Jenex and to create funding for a global rollout”.

 

Patrick Rooney, Chairman and CEO for IMAGIN stated, “We have conducted preliminary due diligence and are committed to finance the rollout of the state-of-the-art medical devices with disposables developed by JENEX which we can sell directly to the consumer supplemented by distribution through mass merchandisers.  We have already begun talks with specialists in the field of TV infomercials and web-based marketing.  Of course, JENEX also represents a potential vehicle as a merger candidate in order to create a liquidity event for the IMAGIN shareholders through the mechanism of a dividend-in-kind distribution in the future.  It is IMAGIN’s plan to merge its PET scan (Positron Emission Tomography) operation and certain other cancer diagnostic and treatment technologies into JENEX on a basis to be negotiated.  The IMAGIN operations are operating with positive cash flow. A two pronged business plan will be developed to encompass a division that sells medical devices directly to the consumer and a subsidiary operating cancer diagnosis and treatment centres currently supplemental to the health programs of each Canadian province.  Before any plan of amalgamation is finalized, IMAGIN and JENEX will develop a strategy and operating plan and simultaneously complete two tranches of financing”.

 

Final agreements between  the two companies may be subject to approval from their respective shareholders and the TSX Venture Exchange. The Private Placement will be subject to the customary four month hold period from the date of issue and TSX Venture Exchange approval.
