Michael A. Jenkins, President & CEO of The Jenex Corporation (the “Corporation”) is pleased to announce that the Corporation has closed the $0.25 private placement which was announced on August 25, 2006.
The private placement raised gross proceeds of $186,000 and resulted in the issuance of 744,000 units at a price $0.25 per unit to investors. Each unit is comprised of one (1) common share of the Corporation one-half (1/2) of a non-transferable share purchase warrant (372,000 whole warrants in total). Each whole warrant entitles the holder thereof to purchase one (1) additional common share of the Corporation at a price of $0.50 per share for a period of one year commencing from the closing date. In connection with the above, Kingsdale Capital Markets Inc. was paid a commission of $12,080 in cash and 30,200 agents warrants, on the same terms as the warrants issued to investors.
All of the securities issued pursuant to the private placement (including conversion shares and shares issued upon exercise of the warrants) are subject to a hold period which expires on January 15, 2007.
