II.  COMPANY PROFILE

The Jenex Corporation, (“Jenex” or the “Company”) is a publicly traded Ontario-based medical device research and development company. The Jenex Corporation was formed in 1999, to bring innovative and effective products to world markets.  Its vision and accurate assessment of current and future healthcare market needs will enable the company to capitalize on global demand for their products.

The Jenex Corporation is a cutting edge organization with a remarkable combination of talented people, innovative products, advanced technologies, and international business alliances for manufacturing, sales and distribution. Jenex is focused on the research and development of thermal therapy technology.

The first product developed from this technology was trademarked Therapik®.  Therapik® is a Class II medical device and has obtained the necessary regulatory approvals in Canada, United States and Europe to market Therapik® with a claim to stop the pain, itch and inflammation caused by insect stings and bites.  Jenex is developing a licensing strategy for world markets for Therapik®.

Utilizing their proprietary Thermal Defence Technology, the company has now developed the interceptCS Cold Sore Prevention System. interceptCS has been clinically proven to be  effective in the prevention of Herpes Labialis (cold sores). It is the first company to receive regulatory approval from a significant regulatory body to make the claim of prevention against cold sores.

Cold sores are caused by the Herpes Simplex Virus 1 (“HSV-1”), which can remain dormant in the body for long periods of time.  Recurrent cold sore sufferers are aware they are getting a cold sore by experiencing a tingling, burning, itching feeling at the site before the cold sore breaks the skin.  This period is referred to as the prodromal stage of the cold sore and this window of opportunity can last anywhere from 4 to 48 hours. When interceptCS is applied during the prodromal stage, clinical trials have clearly illustrated that it is a safe and effective means of preventing cold sores.

interceptCS Thermal Defence Technology prevents cold sore lesion outbreaks by enhancing the cell’s immune response to viral attack. In a cold sore outbreak, latent herpes simplex virus (HSV) is reactivated from where it is dormant in nerve ganglia near the upper portion of the spinal cord. The virus moves down the peripheral nerves to the skin and replicates in the sensory nerve endings, causing the symptoms of tingling, itching, burning, tightness, swelling, or numbness. Intercept is used at this stage to deliver targeted heat therapy to the affected area.

This targeted heat therapy results in a ‘heat shock’ response within the skin cells to produce heat shock proteins. The heat shock response is a well studied phenomenon that protects cells from stress. Heat shock proteins react with the immune system to help recognize and kill the virally-infected cells that cause cold sores.

interceptCS is protected by patents in Canada, United States, and Europe. The market potential for such a product is enormous as HSV-1 is endemic in North America, affecting 80% of the population.  For 20 to 40% of the population, these distressing outbreaks are recurrent and lesions can appear at any time.  The main treatments currently available are expensive prescription anti-viral drugs, which have limited effectiveness and carry the risk of unpleasant side effects.  interceptCS offers a natural alternative that is clinically proven safe and effective.  At present, there are no other products available for cold sore prevention.

With appropriate marketing strategies, advertising support and retail distribution, Jenex's interceptCS Cold Sore Prevention System is poised to become the pre-eminent leader in the large and underdeveloped cold sore market.  interceptCS is being launched exclusively, with Shoppers Drug Mart/Pharmaprix, Canada’s largest retail drug chain, beginning April 1st 2006.
